TradeBinder Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of TradeBinder, a product of Hevanli Mission LLC ("Company," "we," "our," or "us"). By downloading, accessing, or using the TradeBinder application ("App"), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the App. We reserve the right to update these Terms at any time. We will notify users of any material changes at least 30 days before they take effect through a notification within the App and by updating the Effective Date at the top of this document. Your continued use of the App after changes take effect constitutes your acceptance of the updated Terms.

2. Age Requirement

You must be at least 13 years old to use TradeBinder. By using the App, you represent and warrant that you are at least 13 years of age. We reserve the right to terminate accounts of users found to be under 13 years of age.

3. User Accounts

3.1 Account Creation

You may use TradeBinder as a guest without creating an account or sign in using your Google account. Guest users' data is stored anonymously on their device and is not synced across devices. Signed-in users' data is synced across devices via Firebase.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We recommend regularly reviewing your account activity and reporting any suspicious activity immediately to hbeltran@hevanlimission.com. The Company will never ask for your password via email or in-app messages.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct we determine to be harmful to the App, other users, or our business. Where possible, we will provide notice of termination and an opportunity to address the issue before taking action, except in cases of severe or repeated violations where immediate termination is warranted.

4. Permitted Use

TradeBinder is designed to help collectors and vendors evaluate trading card trades. You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

Use the App for any fraudulent or deceptive purpose

Attempt to gain unauthorized access to any part of the App or its infrastructure

Interfere with or disrupt the App's services or servers

Use automated tools or bots to access the App without our express written permission

Reverse engineer, decompile, or attempt to extract the source code of the App

Use the App to transmit spam, malware, or other harmful content

Impersonate any person or entity or misrepresent your affiliation with any person or entity

5. Trade Evaluations and Data Accuracy

TradeBinder provides trade evaluation tools based on comparable sale prices ("comps") entered by users. The App uses mathematical calculations to evaluate trade fairness based on the data you provide.

IMPORTANT DISCLAIMER: TradeBinder does not provide financial, investment, or professional trading advice. Trade evaluations are based solely on the comparable prices you enter and are for informational purposes only. The Company makes no representations or warranties about the accuracy, completeness, or fitness for any particular purpose of any trade evaluation.

You are solely responsible for any trading decisions you make. The Company is not liable for any losses or damages resulting from trades made based on information provided by the App.

6. Vendor Features and Public Buy Lists

Vendor users may create public buy lists accessible via shareable URLs and QR codes. By enabling this feature, you acknowledge that:

The information you choose to make public (shop name, buy list, trade policies, event information) will be accessible to anyone with the link

You are responsible for the accuracy of the information you publish

You will not publish false, misleading, or deceptive information

The Company is not responsible for how third parties use your public buy list information

7. Subscriptions and Payments (Future)

TradeBinder currently offers free access to all features. We plan to introduce a paid vendor tier in the future. We will provide at least 60 days notice before introducing any paid features. When payment features are implemented:

Subscription fees will be clearly disclosed before purchase

Payments will be processed securely through Stripe

Subscription terms, cancellation policies, and refund policies will be provided at the time of purchase

We will provide at least 30 days notice before any price changes take effect for existing subscribers

8. Intellectual Property

The TradeBinder App, including its design, code, features, and content created by Hevanli Mission LLC, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our express written permission.

Pokemon and all related names, characters, and trademarks are the property of Nintendo, Game Freak, and The Pokemon Company. TradeBinder is not affiliated with, endorsed by, or sponsored by Nintendo, Game Freak, or The Pokemon Company. Card catalog data is sourced from the publicly available Pokemon TCG community dataset.

9. User Content

You retain ownership of content you create or upload within the App, including binder cover images and trade data. By uploading content, you grant Hevanli Mission LLC a limited, non-exclusive license to store and display your content solely for the purpose of providing the App's services.

You represent and warrant that you have the right to upload any content you submit and that your content does not violate any third-party rights or applicable laws.

10. Privacy

Your use of TradeBinder is also governed by our Privacy Policy, available at https://tradebinder.hevanlimission.com/privacy. By using the App, you consent to the data practices described in our Privacy Policy.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any information provided through the App.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEVANLI MISSION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hevanli Mission LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the state or federal courts located in Tarrant County, Texas.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hevanli Mission LLC regarding your use of the App and supersede all prior agreements and understandings.
